Taxation and Net Payments Policy

All prices on this Web site and in all Intellyx contracts are to be considered “net” amounts due to Intellyx. The customer is responsible for all taxes, regardless of whether those taxes are calculated or published explicitly on this Web site or in any Intellyx contract, as allowed by law.

If a taxing authority requires the addition of a surtax on a previously executed purchase transaction, Intellyx reserves the right to charge customer’s credit card for the surtax.

The only exception to this policy is North Carolina state sales tax And Buncombe County, North Carolina sales tax, which will be expressly added to purchase amounts and collected at time of sale when required by North Carolina state law.

Payment Terms

All prices quoted on this Web site reflect a 10% payment up front discount off of our normal Net 30 payment terms. To receive the payment up front discount, payment must be received before services are rendered, or in the case of a public training course, at the time of registration or before course is confirmed.

Refund Policy

Intellyx generally has a no-refund policy, unless Intellyx is unable to deliver the promised services or alternate refund terms are included in the contract between the customer and Intellyx.

Influence (IQ) Points Policy

Exchanging IQ Points for Products or Services
IQ points may be exchanged for products and services via phone or email (the “IQ Point Exchange”) at the rate indicated on the Content Marketing Services web page. Intellyx may change the number of points required to obtain a product or service at any time, and Intellyx may also add or remove services from this list, or make custom services available to a customer without publishing the service on that page.

Trading in deliverables for IQ Points at Commencement of IQ Point Program
As of January 1, 2017, any Intellyx customer who has paid for a deliverable but has not requested that Intellyx begin work on that deliverable automatically receives a set number of IQ points in exchange for that deliverable at the rate published on that date, which is 125 IQ points for an 800-1,000 word BrainBlog post, 325 points for a 2,000-2,400 word White Paper, and 300 points for participation in one Webinar. For the purposes of setting the expiration date of such IQ points, the purchase date of those points is set to January 1, 2017.

IQ Points Expiration
IQ Points never expire for a customer who is an Intellyx Influence Subscriber as long as the customer’s subscription is active. If a Subscription expires after January 1, 2017 and is not renewed, any unused points owned by that customer expire 90 days from the date of the Subscription expiration.

The IQ points for customers who are not Intellyx Influence subscribers expire one year after their purchase date.

Deliverables must be completed and accepted within 90 days of the expiration date of the points exchanged for that deliverable, unless the delay is caused by Intellyx.

Cancellation of IQ Point Exchange
Should a customer change its mind about exchanging IQ points for a product or service, it may cancel that exchange via voice or email. If Intellyx hasn’t begun work on that deliverable, the points revert to their pre-exchange state.

However, if a customer cancels an IQ Point Exchange after Intellyx has begun work on the associated deliverable, then customer and Intellyx must negotiate a pro-rated application of IQ Points for that work. If such an agreement cannot be reached, those IQ Points will be considered to have fully expired.

Air Travel Policy

When a contract between Intellyx and a customer (“Customer”) includes an Air Travel Policy included by reference, this section shall be considered to be part of that contract.

Customer may purchase travel for an Intellyx representative directly, or ask Intellyx to purchase such travel, where such travel is to be reimbursed by Customer as per the terms of the contract between Customer and Intellyx.

Intellyx will specify the origination and termination points for any itinerary, as well as the time windows for travel that meet with Intellyx’s requirements.

For all itineraries consisting of segments of four hours or less, Intellyx or Customer should purchase the least expensive ticket on a Skyteam airline that provides for a reasonable itinerary considering the number of segments and the duration of travel. If there is more than one airline that flies the desired itinerary and the least expensive itinerary on a Skyteam airline is more than 10% greater than the least expensive alternate reasonable itinerary, then Intellyx or Customer will select the least expensive option.

For all itineraries consisting of at least one segment of more than four hours, Intellyx or Customer should purchase the least expensive Business Class or First Class ticket on a Skyteam airline that provides for a reasonable itinerary considering the number of segments and the duration of travel. If there is more than one airline that flies the desired itinerary and the least expensive Business Class or First Class itinerary on a Skyteam airline is more than 10% greater than the least expensive alternate reasonable Business Class or First Class itinerary, then Intellyx or Customer will select the least expensive Business Class or First Class option.

Governing Law

This Agreement, the other Transaction Documents, and any dispute, controversy or proceeding arising out of or relating to this Agreement, the other Transaction Documents, or the Transactions or the subject matter hereof or thereof or the relationship among the parties hereto or thereto in connection herewith or therewith (in each case whether in contract, tort, common or statutory law, equity or otherwise) shall be governed by the substantive laws of the Commonwealth of Virginia, provided, however, that any matter involving the internal corporate affairs of the company or any other corporate party hereto shall be governed by the provisions of the jurisdiction of its incorporation.


  1. If any provision of this Agreement or any other Transaction Document is determined to be invalid, illegal or unenforceable, the remaining provisions of this Agreement and the other Transaction Documents shall remain in full force, if the essential terms and conditions of this Agreement and the other Transaction Documents for each party remain valid, binding and enforceable. Furthermore, in lieu of any such invalid or unenforceable term or provision, the parties here to intend that there shall be added as a part of this Agreement a provision as similar in terms to such invalid or unenforceable provision as may be possible and be valid and enforceable.
  2. Any provision of this Agreement or any other Transaction Document held to be invalid, illegal or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such invalidity, illegality or unenforceability without affecting the validity, legality and enforceability of the remaining provisions hereof or thereof; and the invalidity of a particular provision in a particular jurisdiction shall not invalidate such provision in any other jurisdiction.
